Supreme Court Upholds Appellate Tribunal Ruling in Peerless Share Dispute, Ending 35-Year Legal Feud

The Supreme Court has rejected an appeal by Bhagwati Developers Private Limited against Peerless General Finance and Investment Company Limited, formally closing one of India’s longest-running corporate litigations after more than 30 years.

A division bench comprising Justices P S Narasimha and Alok Aradhe on Tuesday refused to disturb an April 16, 2026 decision delivered by the National Company Law Appellate Tribunal, which had earlier affirmed the legitimacy of contested share transactions carried out by Peerless in the late 1980s.

Senior advocate Harish Salve, instructed by advocates Arunabha Deb and Ashika Daga, argued the matter for Peerless. Bhagwati Developers was represented by senior advocate Gopal Subramaniam, assisted by advocate Faraz Anees.

Decades-Long Dispute Over 1980s Equity Transactions

The conflict traces back to 1991, when legal proceedings were initiated under Sections 397 and 398 of the Companies Act, 1956, challenging corporate actions taken by Peerless during the financial years 1987 and 1988.

Central to the dispute was the private placement of 30,000 equity shares by Peerless—a measure sanctioned by both its board of directors and its shareholders—alongside the transfer of 15,626 shares by existing investors. Challengers claimed that these equity dealings were engineered to shift management control of Peerless and involved the illicit diversion or routing of company funds.

While the original petitioners eventually sought to abandon the case, Bhagwati Developers was granted leave by the court to step in and continue the proceedings as the petitioner.

Path Through Tribunals and Higher Courts

The litigation wound its way through the Calcutta High Court and the Supreme Court over several decades before being placed before the National Company Law Tribunal.

On July 18, 2022, more than three decades after the contested transactions, the tribunal ruled in favor of the petition. Peerless appealed the verdict before the National Company Law Appellate Tribunal.

Overturning that order on April 16, 2026, the appellate tribunal cleared Peerless of all claims of financial misconduct. After evaluating historical company filings and contemporaneous records, the appellate forum determined that the corporate resolutions and equity distributions were valid and fully backed by necessary corporate authorizations. Bhagwati Developers subsequently approached the Supreme Court to contest that outcome.

Throughout the dispute, Peerless maintained that its corporate decisions were conducted transparently, conformed to all statutory norms, and served the company’s commercial interests.

Following the dismissal of the appeal by the top court, Jayanta Roy, managing director of Peerless General Finance and Investment Company Limited, stated that the judgment closes a three-decade chapter in the organization’s history. He remarked that the court’s confirmation of decisions taken in good faith and in the institution’s best interests finally allows the company to turn its focus forward.
